Terms of Service

1. Agreement

These Terms constitute a legal agreement between you (and any entity you represent) and SERPFlow. If you are agreeing on behalf of an organization, you confirm you have authority to bind that organization.

2. Definitions

"Services"

The SERPFlow platform, including dashboards, APIs, reports, AI content workflows, and any related tools or documentation.

"Customer Data"

Data submitted, stored, or generated inside your SERPFlow workspace, including projects, keywords, integrations, and uploaded assets.

"User"

Individuals invited to access your workspace, including team members, clients, or contractors.

3. Accounts & Eligibility

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the confidentiality of login credentials and all activities under your account.
• You must promptly notify SERPFlow of any unauthorized access or security incidents.
• We may suspend or terminate accounts that violate these Terms or applicable law.

4. Acceptable Use

You agree not to:

• Use the Services for unlawful, fraudulent, or abusive purposes.
• Reverse engineer, modify, or create derivative works from our code or infrastructure.
• Interfere with or disrupt the integrity, security, or performance of the Services.
• Upload malicious code or attempt to gain unauthorized access to other accounts.
• Share, resell, or provide access to the Services without written consent.

5. Customer Data & Privacy

You retain ownership of Customer Data. We process Customer Data only to provide the Services and as outlined in our Privacy Policy. You are responsible for securing lawful rights to the data you submit and for complying with relevant privacy regulations.

6. Subscriptions, Billing & Taxes

• Paid plans renew automatically at the end of each billing cycle unless canceled beforehand.
• Fees are non-refundable except where required by law or agreed in writing.
• You authorize SERPFlow (and our payment processor) to charge the payment method on file for subscription fees, add-on usage, and applicable taxes.
• Downgrades take effect at the next billing cycle; usage limits adjust immediately.

7. Third-Party Integrations

Connecting integrations (e.g., Google Analytics, Google Search Console, DataForSEO) grants SERPFlow permission to retrieve and process data per their respective terms. You are responsible for complying with integration provider policies and maintaining active credentials.

8. Intellectual Property

SERPFlow and its licensors retain all rights, title, and interest in the Services, including software, trademarks, logos, and content. You receive a non-exclusive, non-transferable license to use the Services during your subscription. Feedback you provide may be used to improve the platform without obligation or compensation.

9. Confidentiality

Each party agrees to protect confidential information disclosed by the other and to use it solely for purposes of this agreement. Confidential information does not include publicly available data or information independently developed without reference to the other party.

10. Disclaimers & Warranties

The Services are provided "as is" and "as available." We do not guarantee uninterrupted operation, specific rankings, or business outcomes. To the extent permitted by law, SERPFlow disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, SERPFlow's total liability arising from these Terms is limited to the fees you paid in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue.

12. Suspension & Termination

• You may cancel your subscription at any time via the billing portal or by contacting support.
• We may suspend or terminate access for non-payment, security risks, or violations of these Terms.
• Upon termination, access to the Services ends and we will delete or return Customer Data per our data retention policy.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles. Disputes will be resolved through binding arbitration in Austin, Texas, unless otherwise agreed in writing. Nothing prevents either party from seeking injunctive relief in court for misuse of intellectual property or confidential information.

14. Changes to These Terms

We may modify these Terms to reflect updates to the Services or legal requirements. We will notify you of material changes via email or in-app notice. Continued use after the effective date constitutes acceptance of updated Terms.
